1. Acceptance of Terms

By using the Site, you represent and warrant that you have the legal capacity to enter into this Agreement. You affirm that you are at least 18 years of age (or the age of majority in your jurisdiction). The Site is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Site or purchase any products therefrom.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates. Your continued use of the Site after the date any such changes become effective constitutes your acceptance of the new Terms.

2. Products & Research Use Only

IMPORTANT NOTICE: All products available for purchase on the Site are offered strictly and exclusively for in-vitro laboratory research purposes. UNDER NO CIRCUMSTANCES are any products sold by Chemyo intended for human consumption, ingestion, injection, inhalation, topical application, or any other form of administration to humans or animals. Products are not designed, manufactured, or tested for human or veterinary use. Products are not approved by the United States Food and Drug Administration (FDA), the European Medicines Agency (EMA), Health Canada, the Therapeutic Goods Administration (TGA), or any other national or international regulatory body.

Products are not intended to diagnose, treat, cure, mitigate, or prevent any disease, illness, medical condition, or physiological disorder. No statements made on the Site, in product descriptions, or in any accompanying documentation have been evaluated by any regulatory authority. The information provided on the Site is for general informational and educational purposes only and should not be construed as medical advice, professional advice, or a substitute for consultation with qualified professionals.

By purchasing any product from Chemyo, you expressly acknowledge, represent, and warrant that:

• You are at least 18 years of age and possess the legal authority to enter into this Agreement.
• You are purchasing products solely for legitimate laboratory research purposes conducted in a properly equipped facility by qualified personnel.
• You will not use any product for any purpose other than in-vitro laboratory research.
• You will not administer any product to any human or animal under any circumstances.
• You understand that products are not intended for human consumption and that human consumption could result in serious injury, illness, or death.
• You will comply with all applicable local, state, federal, and international laws, regulations, and guidelines regarding the purchase, possession, handling, storage, use, and disposal of research chemicals.
• You assume full and complete responsibility for any and all consequences arising from your purchase, possession, handling, storage, use, or disposal of any product.
• You will not sell, distribute, transfer, or otherwise provide any product to any third party who is not similarly qualified and authorized to handle research chemicals.

CHEMYO EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY ARISING FROM THE MISUSE, MISAPPLICATION, OR UNAUTHORIZED USE OF ANY PRODUCT PURCHASED FROM THE SITE.

3. Orders, Pricing, and Availability

All orders placed through the Site are subject to our acceptance and confirmation. We reserve the right, in our sole and absolute discretion, to refuse, cancel, or limit any order for any reason, including but not limited to:

• Product availability or discontinuation.
• Errors, inaccuracies, or omissions in product descriptions, pricing, or promotional offers.
• Suspected fraudulent, unauthorized, or illegal activity.
• Orders that appear to be for commercial resale or distribution without proper authorization.
• Orders from jurisdictions where the purchase or possession of such products is prohibited by law.
• Inability to verify payment information or shipping address.

Prices for products are subject to change without notice. We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of any product. In the event that a product is listed at an incorrect price due to typographical error or error in pricing information, we reserve the right to refuse, cancel, or refund any orders placed for the product at the incorrect price, whether or not the order has been confirmed and your payment method charged. If your payment method has already been charged and we cancel your order, we shall issue a credit to your original method of payment in the amount of the incorrect price.

We reserve the right to limit the quantity of products purchased per person, per household, or per order. These restrictions may apply to orders placed using the same account, the same credit card, or the same billing and/or shipping address.

4. Shipping, Delivery, and Title

Shipping and delivery dates are estimates only and are not guaranteed. We shall not be liable for any delays in shipping or delivery caused by circumstances beyond our reasonable control, including but not limited to: weather events, natural disasters, carrier delays, customs inspections, labor disputes, transportation disruptions, or acts of government.

Title and risk of loss for all products purchased from Chemyo pass to you upon delivery of the products to the common carrier. This means that once we have transferred the products to the shipping carrier, you assume all risk of loss, damage, or destruction. We strongly recommend that you purchase shipping insurance for valuable orders.

For international orders:

• You are solely responsible for ensuring that the products you order can be lawfully imported into your destination country.
• You are responsible for any and all customs duties, taxes, fees, brokerage charges, or other levies imposed by your local government.
• We are not responsible for any delays, seizures, or confiscations by customs authorities.
• We will not provide refunds for orders that are seized, confiscated, or destroyed by customs.
• You are responsible for complying with all import/export laws and regulations of your jurisdiction.

Free shipping offers apply only to standard shipping methods within the contiguous United States (for domestic offers) or to standard international shipping (for international offers). Expedited, express, or overnight shipping methods may incur additional charges. Free shipping thresholds are calculated based on subtotal before taxes, discounts, and shipping fees.

5. Returns, Refunds, and Exchanges

NO RETURNS OR EXCHANGES FOR CHANGE OF MIND. Due to the hazardous nature, potential for adulteration, and intended research applications of our products, we do not accept returns or exchanges for any reason other than demonstrable product defect, damage in transit, or incorrect item shipment.

Claims for damaged, defective, or incorrect products must be submitted within fourteen (14) calendar days of the delivery date. To submit a claim, you must provide:

• Your order number and the name of the product(s).
• Clear, well-lit photographs showing the issue (damage, defect, or incorrect product).
• A detailed description of the problem.

Upon receipt and review of your claim, we will, in our sole discretion, determine whether to:

• Issue a replacement product at no additional cost to you (subject to availability).
• Issue a partial or full refund to your original method of payment.
• Deny the claim if we determine that the issue resulted from misuse, improper handling, improper storage, or user error.

We do not offer refunds or replacements for products that have been opened, used, or removed from their original packaging (except in cases where the defect would not be discoverable without opening). No refunds will be issued for products that are confiscated by customs, lost due to incorrect address provided by you, or delivered but stolen from your premises. All decisions regarding refunds and replacements are final and binding.

6. Payment Terms

We accept various payment methods as indicated on the Site. You represent and warrant that you have the legal right to use any payment method(s) you provide. By providing payment information, you authorize us to charge the full amount of your order to the payment method you have selected.

For cryptocurrency payments:

• You must complete the transaction within the time period shown at checkout. If the timer expires, the invoice becomes void and you must initiate a new order.
• Cryptocurrency values are volatile. The amount of cryptocurrency required is locked at the time of order creation based on current exchange rates.
• We are not responsible for network delays, transaction fees, or fluctuations in value after order confirmation.
• Refunds for cryptocurrency payments will be issued in USD equivalent at the exchange rate prevailing at the time of refund.

All payments are processed through third-party payment processors. We do not store full credit card numbers or sensitive payment data on our servers. You agree to review and be bound by the terms and privacy policies of any third-party payment processors we use.

7. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS, SERVICES, AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CHEMYO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
• WARRANTIES THAT THE SITE WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, OR FREE OF VIRUSES OR OTHER HARMFUL CODE.
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, PRODUCT DESCRIPTIONS, LABORATORY REPORTS, OR OTHER INFORMATION PROVIDED ON THE SITE.
• WARRANTIES THAT ANY PRODUCTS WILL PRODUCE SPECIFIC RESEARCH RESULTS OR BE SUITABLE FOR ANY PARTICULAR EXPERIMENTAL PROTOCOL.

No advice or information, whether oral or written, obtained by you from Chemyo or through the Site shall create any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHEMYO, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SITE OR ANY PRODUCTS PURCHASED THEREFROM.

This limitation of liability applies regardless of the legal theory on which the claim is based, whether contract, tort (including negligence), strict liability, or any other basis, even if Chemyo has been advised of the possibility of such damages.

Without limiting the foregoing, Chemyo’s total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Site or any products shall not exceed the greater of:

• The total amount you have paid to Chemyo for the specific product(s) giving rise to the claim during the twelve (12) months preceding the claim, or
• One hundred U.S. dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. In such jurisdictions, Chemyo’s liability shall be limited to the fullest extent permitted by law.

9. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms by this reference, describes how we collect, use, and protect your personal information. By using the Site, you consent to the collection and use of your information as described in the Privacy Policy.

We employ industry-standard security measures to protect your information. However, no method of transmission over the Internet or method of electronic storage is 100% secure. While we strive to protect your personal information, we cannot guarantee its absolute security. You acknowledge and agree that you provide your information at your own risk.

10. Modifications to Terms and Site

We reserve the right, at our sole discretion, to modify, update, or replace any part of these Terms at any time. It is your responsibility to check this page periodically for changes. Your continued use of or access to the Site following the posting of any changes constitutes acceptance of those changes.

We also reserve the right to modify, suspend, or discontinue the Site (or any part thereof) at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Site.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

MANDATORY ARBITRATION: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Wilmington, Delaware, before a single arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

CLASS ACTION WAIVER: You agree that any arbitration or proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive your right to participate in any class action lawsuit or class-wide arbitration against Chemyo.

13. User Eligibility and Account Registration

By using the Site, you represent and warrant that you are at least 18 years of age and are fully able and competent to enter into and abide by these Terms. If you create an account on the Site, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms.

14. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. Prohibited activities include, but are not limited to:

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial research purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content without our prior written consent.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that Chemyo shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites you visit.

17. Indemnification

You agree to defend, indemnify, and hold harmless Chemyo and our affiliates, directors, officers, employees, agents, suppliers, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Site; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your use of the Site caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Site.

18. Force Majeure

Chemyo shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, quarantines, strikes, shortages of transportation facilities, fuel, energy, labor, or materials, or any other similar unforeseen events that render performance commercially impracticable.

19. Severability

If any provision of these Terms is held to be unlawful, void, or unenforceable for any reason, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. The remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by Chemyo on the Site, constitute the entire agreement between you and Chemyo regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Site.

21. Waiver

No waiver by Chemyo of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Chemyo to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

22. Assignment

You may not assign or transfer these Terms or any of your rights or obligations hereunder, in whole or in part, without our prior written consent. Any attempted assignment or transfer without such consent will be null and void. Chemyo may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

23. Electronic Communications

By using the Site, you consent to receive electronic communications from us (e.g., via email or by posting notices on the Site). You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

24. Survival

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

25. Export Control

You acknowledge that products purchased from Chemyo may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations (EAR) maintained by the U.S. Department of Commerce. You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or that has been designated by the U.S. government as a “terrorist supporting” country. You also represent and warrant that you are not listed on any U.S. government list of prohibited or restricted parties.
